By using the Services of Dataverses, you are agreeing to be bound by the following terms and conditions. The services provided by Dataverses under these Terms of Use include a number of tools and services that help you analyze and synchronize omnichannel data and use the AI assistant. Any new features or tools added to the current Service are also subject to these Terms of Use.

You must read, agree to, and accept all of the terms and conditions contained in this Terms of Use agreement and the Privacy Policy before using the Service.

1. ACCOUNT TERMS

• Age: You must be at least 18 years of age, or must be under the supervision of a legal representative, in order to register to use the service.
• Verification information: You must provide your full legal name, an accurate email address, phone number, and other mandatory information in order to complete the account registration process.
• Account security: You understand that Dataverses will use your email as a primary method of communication. You are responsible for keeping your password secure. Dataverses cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account and password.
• Prohibited conduct: You may not use the services of Dataverses for any unlawful or unauthorized purpose. You may not violate any law within the scope of your jurisdiction (including but not limited to personal data and intellectual property laws).
• Consequences of violation: A violation or breach of any of the provisions in the Account Terms, as determined at the sole discretion of Dataverses, will result in the immediate termination of your service.

2. ACCOUNT ACTIVATION

• Account owner: The person who registers for the service by providing personal data will be considered the Account Owner. This is the person solely responsible for the activities arising on the account.
• Billing account: If you register for the service on behalf of a user that is your company/organization, that company/organization will be the Account Owner. You represent and warrant that you have the authority to bind that organization to our Terms of Use.

3. RIGHTS OF DATAVERSES

• Right to modify: We have the right to modify or discontinue the Service for any reason whatsoever, without prior notice, at any time.
• Right to refuse service: We have the right to refuse to provide the service to anyone for any reason whatsoever at any time.
• Right to remove content: We may, but are not obligated to, remove account content if that content violates the law, is offensive, threatening, defamatory, or infringes the intellectual property of any party, or violates these Terms of Use.
• Handling of violations: Verbal or written abuse or threats directed at any customer, employee, or member of Dataverses will result in the immediate termination of the account.

4. LIMITATION OF LIABILITY

• The "As Is" principle: You understand and agree that Dataverses is not liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to damages for loss of profits, goodwill, business data, or other intangible losses resulting from the use of or the inability to use the service.
• Data accuracy: The service and all reports and AI forecasts are provided on an "as is" and "as available" basis without any warranty. Dataverses does not guarantee that the results obtained from the use of the service will be entirely accurate or absolutely reliable as compared to actual market fluctuations.

5. PAYMENT, SERVICE CHANGES, AND PRICING

• Billing cycle: Service fees are charged on a prepaid basis and collected on a recurring cycle (Monthly or Annually). The Customer is responsible for making payment in full in order to maintain uninterrupted service.
• Price changes: The prices of the services may change upon 30 days' prior notice from Dataverses. Notice may be provided at any time by posting on the Dataverses website or via email.

5.1. Provisions on Plan Upgrades

• Upgrading from a lower-tier plan to a higher-tier plan (for example, from the Starter plan to the Professional plan) will take effect immediately after the system records a successful payment.
• Credit mechanism: Dataverses applies a progressive credit mechanism. The amount corresponding to the unused days of the previous plan will be automatically converted by the system to be deducted directly from the invoice of the new plan. The Customer only has to pay the remaining outstanding difference.

5.2. Provisions on Plan Downgrades

• A request to downgrade to a lower-tier plan will be recorded and will only take official effect on the start date of the next billing cycle. The Customer continues to use the features of the current plan until the end of the paid cycle.
• Responsibility regarding limits: When the new cycle begins, the system will automatically reconfigure the account according to the limits of the new plan (reducing the number of data connections, the number of users, the number of reports, and the volume of AI messages). The Customer is responsible for adjusting their data and system configuration before the downgrade date. Dataverses is not liable for any data flow interruption or report loss caused by the account exceeding its limits after the downgrade.

6. CANCELLATION AND TERMINATION OF SERVICE

• Cancellation process: You may cancel your account at any time by accessing your account Dashboard and following the instructions, or by sending a request email to [email protected].
• Effect after cancellation: Once the cancellation of service is confirmed, you will not be charged in the next cycle. However, Dataverses does not support refunds of the fees already paid for the remaining time of the current cycle (except for special cases provided for in the Refund Policy).
• Data deletion: If you terminate the service, all of your analytics data and reports on the Dataverses system may be permanently deleted after 30 days from the date of termination.

7. THIRD-PARTY SERVICES

• Platform connections: You acknowledge that Dataverses is a platform that connects data streams from third-party services (including Haravan, Shopee, Lazada, Tiki, etc.). Dataverses does not control and is not legally responsible for any conduct, features, sudden API policy changes, or system Downtime incidents on the part of these third-party providers.
• Separate policies: By activating these connections, you agree to comply with the separate terms of service of those third parties.

8. INTELLECTUAL PROPERTY AND CUSTOMER CONTENT

• Customer data: Dataverses does not claim intellectual property rights over the business data, order information, or analytics content that you synchronize to our system. All data that you upload or connect remains your property.
• Dataverses assets: You may not copy, duplicate, reproduce, sell, resell, or exploit any part of the Service, use the Service, or access the Service without the written permission of Dataverses. You may not purchase advertising keywords (such as Google Ads) using the "Dataverses" brand name or deliberately misspelled variants in order to redirect users.

9. GENERAL TERMS

• These Terms of Use shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.
• If any provision of these Terms of Use is deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
